By accessing or using this Site or engaging our services, you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use the Site or our services.

1. Description of Services

Little Bird AI provides commercial drone inspection, aerial intelligence, and data analytics services, including but not limited to building facade inspections, thermal infrared inspections, construction progress monitoring, aerial mapping, and photogrammetric modeling. Services are provided pursuant to individual service agreements or proposals between Little Bird AI and the client. These Terms govern your use of our website; the specific terms of any service engagement are set forth in the applicable service agreement.

2. Use of the Site

You may use this Site for lawful purposes and in accordance with these Terms. You agree not to use the Site in any way that violates applicable federal, state, or local laws or regulations, or in any manner that could damage, disable, overburden, or impair the Site or interfere with any other party's use of the Site.

You agree not to:

• Attempt to gain unauthorized access to any portion of the Site, other accounts, computer systems, or networks connected to the Site
• Use any automated means, including robots, scrapers, or spiders, to access the Site or collect information from the Site
• Introduce any viruses, Trojan horses, worms, or other harmful material to the Site
• Reproduce, distribute, modify, or create derivative works of the Site or its content without our express written permission

3. Intellectual Property

All content on this Site, including text, graphics, logos, photographs, images, videos, software, and the overall design and arrangement thereof, is the property of Little Bird AI or its licensors and is protected by United States and international copyright, trademark, and other intellectual property laws. The Little Bird AI name, logo, and all related marks are trademarks of Little Bird AI.

You may not use, reproduce, modify, distribute, or display any content from this Site without our prior written consent, except as expressly permitted by these Terms or applicable law.

4. Service Deliverables and Client Data

Ownership and usage rights for deliverables produced in the course of our services (including aerial imagery, thermal data, photogrammetric models, reports, and other work products) are governed by the applicable service agreement between Little Bird AI and the client. In the absence of a specific agreement, Little Bird AI retains ownership of all raw data, proprietary methodologies, processing workflows, and templates, while the client receives a non-exclusive license to use the final deliverables for their intended purpose.

Little Bird AI may use anonymized or de-identified project data, including imagery, for internal quality improvement, marketing, portfolio, and case study purposes, unless otherwise specified in the service agreement.

5. Regulatory Compliance

Little Bird AI operates all unmanned aircraft systems (UAS) in compliance with Federal Aviation Administration (FAA) regulations, including 14 CFR Part 107. Our pilots hold current FAA Part 107 Remote Pilot Certificates. All flight operations are conducted in accordance with applicable federal, state, and local regulations, including airspace authorizations, temporary flight restrictions, and any required waivers.

Clients are responsible for obtaining any necessary property access, building management approvals, or tenant notifications required for our operations at their project sites. Little Bird AI will cooperate with clients in obtaining such permissions but is not liable for delays or inability to perform caused by the client's failure to secure required access.

6. Insurance

Little Bird AI maintains a $2 Million commercial general liability insurance policy covering our drone operations. Certificates of insurance are available upon request. Additional insured endorsements may be provided as specified in individual service agreements.

7. Limitation of Liability

To the fullest extent permitted by applicable law, Little Bird AI, its officers, employees, agents, and contractors shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from or relating to your use of the Site or our services, including but not limited to loss of revenue, profits, data, or business opportunities, regardless of whether such damages were foreseeable or whether we were advised of the possibility of such damages.

Our total aggregate liability for any and all claims arising from or relating to a specific service engagement shall not exceed the total fees paid by the client to Little Bird AI for that specific engagement. This limitation applies to all theories of liability, whether based on contract, tort, negligence, strict liability, or any other basis.

8. Disclaimer of Warranties

THE SITE AND ALL CONTENT, INFORMATION, AND MATERIALS PROVIDED THEREIN ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

While Little Bird AI strives to provide accurate and reliable data and analysis, we do not warrant that our deliverables are free from error or that they will meet all of your requirements. Our reports and data products are intended to support, not replace, professional judgment. Clients are responsible for the decisions they make based on our deliverables, and we recommend consulting with qualified professionals (including structural engineers, architects, or other relevant experts) before making critical decisions based on inspection data.

9. Indemnification

You agree to indemnify, defend, and hold harmless Little Bird AI, its officers, employees, agents, and contractors from and against any and all claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising from or related to your use of the Site, violation of these Terms, or infringement of any third-party rights.

10. Scheduling, Cancellation, and Weather

Drone operations are subject to weather conditions, airspace restrictions, and other factors beyond our control. Little Bird AI reserves the right to reschedule or postpone operations when conditions are unsafe or non-compliant with FAA regulations. Rescheduling due to weather or airspace restrictions does not constitute a breach of contract or entitle the client to cancellation or refund.

Cancellation and rescheduling policies for specific engagements are set forth in the applicable service agreement or proposal.

11. Privacy

Your use of the Site is also subject to our Privacy Policy, which is incorporated into these Terms by reference. Please review the Privacy Policy to understand how we collect, use, and protect your information.

12. Third-Party Links

The Site may contain links to third-party websites or resources. These links are provided for convenience only and do not imply endorsement. We are not responsible for the content, accuracy, or practices of any third-party sites and assume no liability for any damages arising from your use of such sites.

13. Governing Law and Dispute Resolution

These Terms and any disputes arising from or relating to them or your use of the Site shall be governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of laws provisions. Any legal action or proceeding arising out of or relating to these Terms shall be brought exclusively in the state or federal courts located in Galveston County, Texas, and you consent to the personal jurisdiction of such courts.

14. Modifications to Terms

We reserve the right to modify these Terms at any time. When we make changes, we will update the "Last Updated" date at the top of this page. Your continued use of the Site after any modification constitutes your acceptance of the revised Terms. We encourage you to review these Terms periodically.

15. Severability

If any provision of these Terms is found to be unlawful, void, or unenforceable, that provision shall be deemed severable and shall not affect the validity and enforceability of the remaining provisions.

16. Entire Agreement

These Terms, together with our Privacy Policy and any applicable service agreement, constitute the entire agreement between you and Little Bird AI regarding your use of the Site. These Terms do not alter the terms of any separate service agreement you may have with Little Bird AI.
